STIPULATION OF DISMISSAL

This Stipulation is entered into with respect to the following facts:

IT IS HEREBY STIPULATED by and between the parties to this action through their designated counsel that the above-captioned action, including all claims and counterclaims, be and hereby is dismissed with prejudice pursuant to FRCP 41(a)(1), except that the Court retains jurisdiction over this matter for the limited purpose of enforcing the Settlement Agreement and Mutual Release between the parties, a copy of which is attached hereto as Exhibit "A" ("Settlement Agreement").

ORDER

IT IS SO ORDERED. This above-referenced matter, including all claims and counterclaims, is dismissed with prejudice pursuant to FRCP 41(a)(1), except that the Court retains jurisdiction over this matter for the limited purpose of enforcing the terms of the Settlement Agreement.
