STIPULATION AND PROPOSED ORDER RE: DISMISSAL OF COMPLAINT WITH PREJUDICE
This Stipulation is entered into by and between plaintiff, MIGUEL CARDENAS ("hereinafter referred to as "CARDENAS"), by and through his counsel of record, Jeff Estes of Jeffrey E. Estes & Assoc., APC, and Thomas Diachenko of Law Offices of Thomas Diachenko, and by and between defendant, MIRA, INC. (hereinafter referred to as "MIRA"), by and through its counsel of record, Kelly A. Van Nort of Wilson, Elser, Moskowitz, Edelman & Dicker, LLP.

  Pursuant to the confidential settlement of all claims asserted herein by CARDENAS against MIRA, CARDENAS and MIRA hereby stipulate, through their respective counsel, that the entire action, including the Complaint and all causes of action asserted therein, is dismissed with prejudice pursuant to FRCP 41(a)(1). Each party to bear its own costs and fees.

  CARDENAS and MIRA further agree that this stipulation may be signed in one or more counterparts.

  SO STIPULATED AND AGREED:
IT IS SO ORDERED THAT:
  This entire action, including the Complaint and all causes of action asserted herein, is hereby DISMISSED with prejudice.
