Upon consideration of the joint stipulation filed on September 14, 2009, and the files and records in this case,

IT IS HEREBY ORDERED that:

1. This case is dismissed without prejudice.

2. Until such time as the parties file a joint stipulation to dismiss the case with prejudice, the Court retains jurisdiction to order specific performance of the Settlement Agreement between the parties, as set forth in Section VII paragraph 3 of the Settlement

Agreement.

IT IS SO ORDERED.
